Enterprise Terms of Service

Welcome to Returnr Enterprise. These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Client", "Buyer", or "Enterprise Partner") and Cumulo Group Pty Ltd (ABN 13 607 947 419) trading alongside Returnr Creative Pty Ltd (ABN 98 693 534 879), collectively referred to herein as "Returnr", "we", "us", or "our".

By executing a purchase order, accessing www.returnr.co, or utilizing our OEM manufacturing and hardware deployment services, you agree to be bound by these Terms.

1. B2B Services & Contractual Scope

Returnr provisions scalable circular packaging infrastructure, including but not limited to:

  • Custom engineering and deployment of Food-Grade SUS304 Stainless Steel vessels.
  • Manufacturing of shatterproof lids utilizing Tritan Renew™ co-polyester.
  • Integration of automated Return Stations equipped with Laser Etched Serialized QR codes and NFC tracking technology.

All procurement agreements, ODM co-branding contracts, and facility deployment plans are strictly B2B transactions governed by standard Australian commercial law.

2. OEM Manufacturing, Lead Times & Deliverables

For custom OEM hardware integration requiring DFM (Design for Manufacturing) phases:

  • Tooling & Prototyping: Custom molds, Deep Drawing, and Hydro-forming setups require a minimum lead time as defined in the master service agreement, typically ranging from .
  • Production Volumes: Standard mass production capacities cover orders from 500 units up to 500,000+ units per month.
  • Surface Finishes: Tolerances for bespoke Pantone matching, powder coating, and Ceramic Lining are subject to industry-standard variances unless strictly explicitly guaranteed via a separate quality control matrix.

3. Quality Assurance & Compliance Standards

Returnr hardware is engineered and audited to the highest global standards. By engaging our supply chain, you acknowledge the following accreditations and limits:

  • Supply Chain Ethics: All offshore and domestic manufacturing partners operate under strict amfori BSCI social compliance standards.
  • Quality Control: Facilities are governed by ISO 9001:2015 protocols.
  • Durability Guarantee: Standard SUS304 hardware is engineered to withstand 1,000+ commercial wash cycles and thermal sanitization environments up to 85°C.
  • Material Safety: All food-contact surfaces are guaranteed PFAS-Free, 100% BPA-Free, CA Prop 65 compliant, and meet FDA Compliant guidelines. Hardware is certified HACCP Safe for commercial QSR and catering implementations.

4. Shipping, Logistics & Risk of Loss

Unless expressly agreed otherwise in writing, international B2B freight is negotiated under standard ICC Incoterms (2020). For global turnkey deployments, Returnr typically operates under DDP (Delivered Duty Paid) terms to North America, Europe, and the Asia-Pacific, ensuring seamless customs clearance and last-mile enterprise delivery.

Risk of loss and title to the goods transfer to the Buyer upon signature of delivery at the designated destination facility, or as otherwise outlined in the specific Incoterm agreement.

5. Intellectual Property Rights

The Returnr design architecture, including the Victorian Premier's Design Award and Good Design Award Australia winning structures, are the exclusive intellectual property of Cumulo Group Pty Ltd. The foundational design frameworks are led by Founder & CEO Jamie Forsyth and Design Director Brett Capron.

The Buyer acquires zero rights to Returnr’s underlying patents, industrial design registrations, software APIs, or trademarks, except for the explicit hardware deployment licenses granted for the purchased inventory. Any reverse engineering of Returnr’s smart return kiosks or vessel topologies is strictly prohibited.

6. Governing Law & Dispute Resolution

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising out of enterprise hardware deployment or B2B manufacturing contracts shall be resolved under the exclusive jurisdiction of the courts located in Melbourne, Victoria.
